The Meakings Group International Licensed Applicator Program ® Licensee Agreement This Agreement is made on this ______ day of ________________, 20_ between The Meakings Group International® (TMG International), Unit 146, Southern Palms Resort, St. Lawrence Gap, Christ Church, Barbados herein known as the Company and __________________________________________________herein known as the Licensee. TRADEMARKS: 1. The Licensee shall have no authority to use the "Marks" owned by the Company except as expressly set forth in this Agreement. "Marks" under this Agreement shall be defined as any and all Trademarks, service marks, logos, trade dress, or other indicia owned or franchised by the Company or any of its affiliates or related Companies and shall include copy similar or confusingly similar to the Trademarks, service marks, logos, trade dress, or other indicia. Licensee acknowledges ownership by the Company of the "Marks", the various registrations of the "Marks" and applications for registration of the "Marks" as well as the validity of the "Marks" and registration. 2. Licensee agrees that it will not infringe or contest, directly or indirectly, the validity of, or the Company's title to the "Marks" registration or other applications, or assist others in such activities. It is further understood and agreed that the Licensee has no right to any of the "Marks" now owned or used by the Company or which may be owned or used by the Company at any time in the future, and that all goodwill from the use of such "Marks" by Licensee shall inure to the benefit of the Company. 3. Upon Licensee ceasing to purchase product from TMG, Licensee agrees, insofar as it may have received authorization to use the "Marks", to discontinue all use of the "Marks" under which Licensee has been operating. Licensee shall have no right to acquire the "Marks" by purchase or otherwise. 4. The form and manner of use of each "Mark" shall be determined by the Company, and Licensee shall submit to the Company for approval in advance all proposed uses of the "Marks", including, but not limited to, advertising, labels, notices and publicity materials. Licensee agrees not to use any of the "Marks" for any purpose or in any published or unpublished context without the express written consent of the Company. MISCELLANEOUS: 1. All orders are to be paid for before being picked from stock. The Company does not accept returns, once the materials have left the facility, the Company claims no responsibility. 2. If payment for materials is processed and returned, a charge of $40.00 will be applied to your account. WARRANTY INFORMATION: Because the Company has no control over proper surface preparation or method of application, no guarantee as to results is offered, expressed or implied. The Company guarantees the materials only. If the product is defective, replacement material will be provided, free of charge at Managers option. Labor costs are not covered by this warranty. Responsibility for claims of any kind is strictly limited to the purchase price of the materials. The Company products are guaranteed against defects in materials. The Company products are not guaranteed against wear, misuse or inadequate surface preparation.
